1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Company", or "You") and EezyDox* ("we", "us", or "our"), governing your access to and use of our website, applications, document workflow tools, billing features, and electronic signing services (collectively, the "Service").
By accessing or using the Service, creating an account, purchasing credits, subscribing to a paid plan where offered, uploading a document, or signing electronically, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Platform Nature and No Legal Advice
Important Legal Notice
EezyDox* is a software platform that facilitates document generation, workflow automation, collaboration, and electronic signing. EezyDox* is not a law firm, does not provide legal advice, legal representation, or legal opinions, and does not create an attorney-client relationship between EezyDox* and any user.
The Service is document infrastructure and workflow software. It is not an escrow service, fiduciary service, trustee, regulated financial intermediary, legal representative, or custodian of funds or legal rights. We do not hold money or property on behalf of users, supervise legal transactions, or guarantee legal outcomes.
Users are solely responsible for obtaining independent legal advice regarding the suitability, legality, enforceability, tax treatment, regulatory compliance, and jurisdiction-specific requirements of any document generated, uploaded, modified, signed, stored, or shared through the Service.
3. Description of Services
EezyDox* provides a SaaS platform for drafting, translating, reviewing, automating, managing, collaborating on, and electronically signing documents, including marketplace templates, rental and employment workflows, and user-uploaded contracts through BYOC (Bring Your Own Contract).
BYOC workflows may allow you to upload contract text or PDF files so the Service can extract structure, identify editable fields, and generate guided review flows. AI-assisted parsing, translation, drafting, classification, and analysis are convenience features only and may be inaccurate, incomplete, outdated, or unsuitable for your intended use.
We may add, modify, suspend, or discontinue features from time to time. We will use commercially reasonable efforts to maintain the Service, but we do not guarantee uninterrupted availability.
4. INTELLIDOX Agreement Analysis
INTELLIDOX is an optional AI-assisted agreement analysis feature that may identify missing information, unusual clauses, signature-readiness issues, internal inconsistencies, and items that may deserve further review. INTELLIDOX findings are informational workflow outputs only. They are not legal advice, legal opinions, professional advice, negotiation instructions, approval to sign, or a determination that an agreement is valid, enforceable, complete, fair, or safe.
A user with authorized access to an agreement may run INTELLIDOX where the feature is available, including before sending, during signing, after signing, or after completion. Running INTELLIDOX does not change the agreement status, does not move an agreement back to Draft, does not invalidate signatures, does not reopen negotiation, and does not require any party to accept, reject, amend, or disclose the findings.
Signer-private INTELLIDOX reviews are private to the requesting user by default. The owner, counterparty, and other participants will not see signer-private findings unless the requesting user deliberately shares selected findings or otherwise authorizes disclosure through the Service. Acceptance-only agreements may still be reviewed privately by a participant with access, but that private review does not alter the acceptance workflow or impose negotiation duties on the owner.
INTELLIDOX may be charged as a separate EEZY Credits action. Unless a free or promotional entitlement applies, each INTELLIDOX agreement analysis costs the number of EEZY Credits shown in the product or pricing interface at the time of use, currently staged at 15 EEZY Credits. Consumed INTELLIDOX analysis charges are non-refundable except where required by law or expressly approved by EezyDox*.
If you choose to ask an independent advisor about a selected INTELLIDOX finding, you are responsible for deciding what to share and for independently engaging, instructing, and paying that advisor. Advisor referrals do not create an attorney-client, fiduciary, professional, agency, partnership, or subcontractor relationship with EezyDox*.
5. User Responsibility for Documents and Use
You are solely responsible for all documents, instructions, signatures, approvals, data, and workflows you create, upload, generate, modify, send, sign, or store through the Service.
- You must review every agreement, template, field, clause, translation, AI-assisted output, and signature request before use.
- You must verify that each document is lawful, accurate, complete, enforceable, and suitable for your specific use case and jurisdiction.
- You must confirm that all signers have proper authority, capacity, identity, and permission to sign or act on behalf of any person or entity.
- You must ensure that your use of the Service complies with all applicable laws, regulations, sanctions rules, consumer protection rules, employment rules, housing rules, privacy rules, and tax obligations.
EezyDox* does not guarantee that any template, document, workflow, AI-assisted output, translation, or electronically signed agreement is legally enforceable in any jurisdiction or suitable for any specific use case.
6. User Accounts
- Registration: You must provide accurate, current, and complete account, billing, and contact information and keep it updated.
- Security: You are responsible for safeguarding your credentials, devices, sessions, signatures, and multi-factor authentication methods. Activity under your account may be treated as your activity unless we determine otherwise.
- Email and phone verification: We may require email, phone, passkey, authenticator app, SMS, or other verification before allowing protected actions such as signing, billing, or account recovery.
- Eligibility: You must be at least 18 years old and have legal capacity to enter into a binding agreement.
- Organizations: If you use the Service for an organization, you represent that you are authorized to bind that organization and manage its documents, users, billing, and data.
7. Electronic Signatures, Records, and Notices
The Service allows parties to sign documents electronically. By using electronic signing features, you consent to transact electronically and agree that electronic signatures, electronic records, electronic notices, and electronic audit trails may be used instead of paper documents where permitted by applicable law.
You agree that signatures and records created through the Service are intended to support electronic contracting frameworks such as ESIGN, eIDAS, and the Israeli Electronic Signature Law where those laws apply, subject to transaction type and local law.
We may retain audit logs and evidence records to support authentication, repudiation defense, fraud review, document integrity, and admissibility of digital records.
You consent to our collection and retention of signing evidence, including timestamps, IP addresses, user-agent strings, browser and device metadata, login and verification events, OTP or step-up verification records, signature sequence, disclosure consent, document versions, and document hashes.
You must not sign on behalf of another person or entity unless you have authority to do so. You are responsible for confirming whether electronic signatures are permitted for your transaction and jurisdiction.
8. Acceptable Use Policy
You may use the Service only for lawful purposes and in accordance with these Terms. You must not use, facilitate, or attempt to use the Service for:
- fraud, identity theft, impersonation, forgery, or deception;
- money laundering, terrorist financing, sanctions violations, or evasion of compliance controls;
- illegal agreements, illegal goods or services, or unlawful business activity;
- harassment, exploitation, threats, hate, abuse, or non-consensual content;
- intellectual property infringement, privacy violations, or unauthorized disclosure of confidential information;
- malware, credential harvesting, scraping, spam, phishing, or platform abuse;
- gambling, adult content, illegal pharmaceuticals, counterfeit goods, weapons trafficking, financial fraud schemes, pyramid schemes, or other prohibited or high-risk industries we identify.
We may refuse, block, suspend, or terminate use of the Service where we believe activity violates these Terms, creates risk for users, payment processors, financial institutions, regulators, or EezyDox*, or is otherwise unlawful, abusive, or unsafe.
9. Subscriptions, Credits, Fees, and Refunds
Some aspects of the Service may be offered for a fee, including one-time document purchases, credit packs, usage-based charges, or recurring subscriptions where available. You agree to the pricing, taxes, payment, and checkout terms shown at the time of purchase.
- Payment processors: Payments may be processed by third-party payment processors. We do not store full card numbers. Processor terms, bank rules, card network rules, and payment method rules may apply.
- Recurring billing where offered: Subscription plans renew automatically at the stated billing interval unless canceled before renewal. Billing frequencies, plan limits, renewals, trials, credits, upgrades, downgrades, and cancellation options will be disclosed in the checkout or account interface for the applicable plan.
- Cancellation: You may cancel a recurring subscription through your account settings or by contacting support where self-service cancellation is unavailable. Cancellation takes effect at the end of the then-current billing period unless stated otherwise or required by law.
- Failed payments: If payment fails, we may retry the charge, request updated billing details, suspend paid features, withhold credits, or downgrade, restrict, or terminate access.
- Credits: Credits, bonus credits, promotional credits, or usage allowances have no cash value, may be subject to limits or expiration disclosed at purchase, and may be reversed in cases of refunds, chargebacks, fraud, error, or abuse.
- EEZY Credits actions: BYOC creation modes, INTELLIDOX analysis, certified evidence exports, or other credit-based document actions may use the shared organization EEZY Credits balance. Charges, free entitlements, and staged actions are shown in the product, billing, admin, or pricing interface.
Refund Policy
- Unsigned agreements: You may request a refund for eligible one-time agreement purchases that have not been signed by any party and are not in a signing or completed state. Approved refunds may cancel or restrict the related draft.
- Signed or in-progress agreements: Once an agreement has been signed, completed, or entered a signing workflow, the service is considered consumed. No refund will be issued for signed, completed, partially signed, or signing-in-progress agreements except where required by law.
- Credit packs and usage charges: Purchased credits and consumed usage are non-refundable except where required by law or expressly approved by EezyDox*.
- Subscriptions: Subscription fees are non-refundable except where required by law or expressly stated in a specific plan offer. Canceling a subscription stops future renewals; it does not automatically refund the current billing period.
10. Chargebacks, Fraud, and Compliance Cooperation
We may monitor transactions, account activity, login activity, document activity, signature events, refund requests, and payment events to detect fraud, abuse, suspicious activity, chargeback risk, sanctions risk, and unlawful conduct.
EezyDox* reserves the right to suspend, limit, review, freeze, preserve evidence from, or terminate accounts involved in suspicious, fraudulent, abusive, high-risk, or unlawful activity. We may require additional identity, account, billing, authority, or transaction verification before allowing access, signing, refunds, or payments.
EezyDox* may cooperate with payment processors, financial institutions, regulators, courts, and law enforcement authorities regarding investigations involving fraud, unlawful activity, payment disputes, chargebacks, sanctions, AML obligations, or regulatory compliance.
11. User Content and Data
You retain ownership of the personal data, contract text, uploaded files, agreements, generated documents, signatures, and other content you submit to or create through the Service ("User Content").
By submitting User Content, you grant EezyDox* a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, process, transmit, display, and modify User Content solely as needed to operate, secure, improve, support, and provide the Service, including through trusted hosting, payment, AI, OCR, analytics, security, and communication subprocessors where applicable.
You represent that you have all rights, permissions, notices, and lawful bases necessary to submit User Content and personal data to the Service and to invite others to view, edit, or sign documents.
12. Intellectual Property Rights and Restrictions
EezyDox* and its licensors retain ownership of the Service, software, source code, user interface, workflows, product design, templates, clause libraries, automations, branding, documentation, proprietary systems, and all related intellectual property, excluding User Content.
You must not:
- copy, resell, sublicense, or commercially exploit the Service except as expressly permitted;
- scrape, crawl, bulk export, or automate extraction of templates, workflows, pricing, or platform data without authorization;
- reverse engineer, decompile, disassemble, or attempt to derive source code or underlying models except where law prohibits restriction;
- build a derivative or competing platform using non-public aspects of the Service;
- remove legal notices, security features, or attribution from the Service.
13. Third-Party Services
The Service may integrate with third-party services, including payment processors, banks, card networks, cloud hosting providers, authentication providers, analytics providers, communication services, AI providers, OCR providers, and storage providers.
We are not responsible for third-party outages, payment failures, processor freezes, banking interruptions, delayed settlement, provider errors, rejected payments, or third-party changes. Your use of third-party services may be subject to their separate terms and privacy policies.
14. Advisor Directory and Third-Party Advisors
The Service may include an advisor directory that allows users to discover independent lawyers, law firms, accountants, real estate agents, insurance agents, notaries, consultants, companies, or other professional service providers ("Advisors"). Advisor directory copy is product information pending legal review and is not legal, financial, real estate, insurance, tax, or professional advice from EezyDox*.
Advisors are independent third parties. They are not employees, agents, partners, representatives, fiduciaries, subcontractors, or controlled service providers of EezyDox*. We do not endorse, supervise, guarantee, verify, certify, monitor, or control any Advisor's services, advice, fees, qualifications, licensing, availability, confidentiality practices, conflicts of interest, performance, omissions, delays, malpractice, or professional conduct.
Any engagement, communication, advice, fee arrangement, retainer, professional relationship, confidentiality duty, dispute, claim, or liability is solely between you and the Advisor. You are responsible for independently evaluating, selecting, contracting with, paying, instructing, and supervising any Advisor you choose to contact or add to an agreement.
Advisor ratings and reviews, where available, are limited user feedback from eligible users and do not constitute an endorsement, warranty, verification, ranking, or professional recommendation by EezyDox*. We may remove or moderate Advisor profiles or reviews, but we are not obligated to police Advisor conduct or resolve disputes between users and Advisors.
15. Suspension, Termination, and Post-Termination Data
We may suspend, restrict, or terminate access to the Service if you violate these Terms, create legal or security risk, fail to pay amounts due, misuse the Service, or engage in suspicious, fraudulent, abusive, or unlawful conduct.
After termination, your right to access the Service ends. Subject to applicable law, security requirements, billing obligations, and audit trail integrity, we may provide a reasonable opportunity to export available documents. We may retain records, audit trails, billing records, fraud evidence, backups, and signed-document evidence where required or permitted by law, our Privacy Policy, or legitimate business needs.
Termination does not automatically invalidate documents that were already signed through the Service, but you remain responsible for preserving your own records and obtaining legal advice about the effect of termination on any agreement.
16. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, enforceability, and legal compliance.
We do not warrant that the Service will be uninterrupted, error-free, fully secure, free of harmful components, accepted by any court, suitable for regulated use, or that any document, template, translation, electronic signature, INTELLIDOX finding, advisor referral, or AI-assisted output will be valid, compliant, complete, enforceable, accurate, or appropriate for your intended use.
Automated translations and AI-assisted features are for convenience only. In the event of a discrepancy between document versions, the language version designated as binding in the agreement itself should control, subject to applicable law and legal review.
17. Limitation of Liability
To the maximum extent permitted by applicable law, EezyDox*, its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, loss of business, loss of goodwill, reputational harm, loss of data, business interruption, procurement of substitute services, enforceability disputes, failed transactions, third-party actions, payment processor actions, chargebacks, or claims arising from your documents or use of the Service.
To the maximum extent permitted by applicable law, the aggregate liability of EezyDox* arising out of or related to the Service or these Terms shall not exceed the total amount paid by you to EezyDox* during the six (6) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply to the fullest extent permitted by law.
18. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv-Yafo, Israel, unless applicable law requires otherwise.
